NeRambler closed beta agreement

Draft — requires review by a lawyer

Version 2026-10-draft-1 · of 18 October 2026

This text has not been reviewed by a lawyer yet and may change. It is not legal advice and not a statement of compliance with any law.

In short

  • For early customers who pay by invoice rather than through the cabinet.
  • Beta: features change, bugs happen, there are no service credits.
  • Monthly payment by invoice; an unused paid period is refunded.
  • Your data stays yours: export and deletion on request.
  • Print it, fill in the details and sign two copies.

A short summary for convenience. The full text below is what applies.

Provider and personal data operator

The details (legal name or full name, tax number, address for requests) will appear here before payments are accepted.

1.Parties and subject

1.1The Provider named in the “Provider” block and in the signature section and the Customer named in the signature section have concluded this agreement.

1.2The Provider gives the Customer access to the beta version of the NeRambler service — one or more panels under the plan stated in the invoice — and the Customer pays for the access and, where it can, tells the Provider about bugs it finds and features it would like.

1.3Anything this agreement does not cover is governed by the public offer (beta.nerambler.com/en/legal/offer), the acceptable use policy (beta.nerambler.com/en/legal/aup) and the privacy policy (beta.nerambler.com/en/legal/privacy) as in force on the date of signing.

2.Nature of the beta

2.1The Customer understands that the Service is under development: features may be added, changed or removed, and bugs and interruptions may occur.

2.2The targets of the “Service level” document (beta.nerambler.com/en/legal/sla) apply as guidance. There are no service credits during the beta.

2.3The Provider tells the Customer by email in advance about material changes affecting the panel, except urgent security fixes.

3.Price and payment

3.1The plan, price and billing period are stated in the invoice. The billing period is a calendar month.

3.2The Customer pays the invoice to the details stated in it within 5 business days of issue. Access for the period opens once payment arrives.

3.3The payment document (receipt) is issued in the way the lawyer determines for the Provider’s legal form.

3.4The price of a period already paid does not change. The Provider announces the price of the next period at least 14 days ahead.

4.Term

4.1The agreement runs from signing until the closed beta ends, but no longer than 6 months, and renews unless either party declines.

4.2After the beta the Customer may move to the public offer; a paid but unused period carries over.

5.The Customer’s duties

  • Follow the acceptable use policy and answer for the actions of its panel users.
  • Keep the Owner’s credentials secret and report a suspected compromise without delay.
  • Have a legal basis for processing the data loaded into the panel.
  • Provide its own proxies for mail where the plan has no direct egress, and always for Steam and Outlook.

6.Data

6.1The Customer is the operator (controller) of the personal data it keeps in a panel. The Customer instructs the Provider to process it only to run the panel, on the terms of the “Panel data and the processing instruction” section of the public offer.

6.2Panel data is stored on servers in the Netherlands. The Customer confirms that it may instruct such processing, including the cross-border transfer.

6.3At the Customer’s request the Provider exports the panel’s data as an encrypted archive and deletes the panel. After the agreement ends the data is deleted within the periods in the public offer.

7.Confidentiality

7.1Neither party discloses to third parties non-public information about the other received under this agreement, including its terms, the Customer’s business and unfixed vulnerabilities of the Service, except as the law requires. The duty lasts 3 years after the agreement ends.

8.Liability

8.1The Provider’s liability is limited to the amount the Customer paid under this agreement in the last three months and excludes lost profit and indirect damages, unless the law provides otherwise.

8.2The Provider is not liable for sanctions of third-party platforms (Steam, mail services and others) against the Customer’s accounts.

9.Termination

9.1Either party may end the agreement by email with at least 10 days’ notice. The Provider refunds the unused part of the period within 10 business days.

9.2For a gross breach of the acceptable use policy the Provider may suspend the panel at once and end the agreement without notice.

10.Final provisions

10.1The agreement is governed by the law of the Russian Federation. Disputes are settled by negotiation, then by a written claim (answered within 30 days), then in the court at the Provider’s location.

10.2The parties accept email correspondence at the addresses in the signature section and scanned copies of the signed agreement as legally binding. The agreement is made in two copies, one for each party.
