  • The trial lasts 7 days, once per account, with the limits of the trial plan.
  • Paid plans are prepaid monthly from the cabinet balance.
  • Without payment a panel is suspended after 3 days and deleted 60 days after suspension; we warn you in advance.

A short summary for convenience. The full text below is what applies.

Provider and personal data operator

The details (legal name or full name, tax number, address for requests) will appear here before payments are accepted.

1.General

1.1This document is an offer by the Provider named in the “Provider” block on this page to conclude an agreement on the terms below with anyone who accepts it (a public offer).

1.2The offer is accepted by registering an account at beta.nerambler.com/en and ticking the box agreeing to the offer, the acceptable use policy and the privacy policy. The version of each accepted document and the time of consent are recorded.

1.3If you accept the offer on behalf of an organisation, you confirm that you may act on its behalf.

2.Definitions

  • Service: the NeRambler software available over the internet: the site, the cabinet and the panels.
  • Cabinet: the Customer’s area on the site where panels, plans and payments are managed.
  • Panel: a separate instance of the Service with its own address, database and encryption key, where the Customer keeps its mail and game accounts.
  • Owner: the account with full rights in a panel, created by the Customer through the setup link.
  • Panel users: administrators and buyers of accounts whom the Customer gives access to the panel.
  • Plan: a set of panel features and limits and its price per billing period.
  • Balance: the Customer’s prepayment in the cabinet.

3.Subject

3.1The Provider gives the Customer access to the Service under the chosen plan, “as is”, within the described features, and the Customer pays for the access.

3.2The features and limits of each plan are published on the site and in the cabinet. The Service is in closed beta: features may change, and the Provider announces material changes in advance.

3.3The Service is not an email service, a general-purpose data store or a means of circumventing the rules of third-party platforms.

4.Registration and account

4.1Registration needs an email address, which the Customer confirms with a code or a link from a message. The Service is intended for persons over 18.

4.2The Customer keeps the password secret and is responsible for actions taken under its account. The Customer reports a suspected compromise to support without delay.

4.3For some plans the Provider may ask for a phone confirmation or another check described in the cabinet.

5.Trial

5.1The trial lasts 7 days and is given once per account and per phone number.

5.2The trial is restricted: no Steam module and no bulk import, no direct connections from the Service’s addresses (your own proxies are needed), lower limits on accounts and administrators.

5.3If no plan is paid by the end of the trial, the panel is suspended and deleted with its data 14 days later.

6.Prices and payment

6.1Plan prices are shown on the site and in the cabinet in roubles. The billing period is a calendar month from the start of the subscription.

6.2Payment is made in advance by topping up the balance through the methods available in the cabinet, including by invoice. The price of a period is charged to the balance at its start.

6.3An upgrade applies at once, with a pro-rata charge for the rest of the period. A downgrade applies from the next period and only if current usage fits its limits.

6.4The Provider announces price changes by email at least 14 days in advance. A period already paid is not recalculated.

6.5The payment document (receipt) is issued in the way the lawyer determines for the Provider’s legal form.

7.Non-payment, suspension and deletion

7.1If the balance does not cover a new period, the panel keeps working for 3 days (grace period) and the Provider sends a reminder.

7.2After the grace period the panel is suspended: nobody can sign in, the data is kept. Paying the amount due resumes it.

7.3A panel is deleted with its data 60 days after suspension. The Provider warns by email 30, 7 and 1 day before.

7.4Backups of a deleted panel are destroyed within 30 days of the deletion.

8.The Provider’s rights and duties

8.1The Provider runs the Service as described in the “Service level” document, makes daily encrypted backups and announces planned maintenance on the status page.

8.2The Provider does not enter the Customer’s panel or look at its data without the Customer’s explicit permission, except where the law expressly requires it.

8.3The Provider may suspend a panel for a breach of the acceptable use policy, at the request of a competent authority, or when it threatens the security of the Service or other customers, telling the Customer the reason unless the law forbids it.

9.The Customer’s rights and duties

9.1The Customer follows the acceptable use policy and is responsible for the lawfulness of the data it uploads to a panel and for the actions of its panel users.

9.2The Customer provides its own proxies for mail connections where the plan has no direct egress, and always for Steam and Outlook, which never connect from the Service’s addresses; the Customer is responsible for its right to use those proxies.

9.3The Customer follows the rules of third-party platforms (Steam, mail services and others) on its own. The Service does not protect against their sanctions and does not guarantee the outcome of disputes with them.

9.4The Customer may at any time request an export of a panel’s data and its deletion.

10.Panel data and the processing instruction

10.1For the personal data the Customer keeps in a panel (data of panel users and accounts) the Customer is the operator (controller). By accepting the offer the Customer instructs the Provider to process that data only as far as needed to run the panel: store, organise, show it to panel users as the Customer directs, back it up and delete it.

10.2The Provider keeps that data confidential and applies the safeguards described in the privacy policy: a separate database and an own encryption key per panel, encrypted passwords and tokens, access control and logging.

10.3The Customer is responsible for having a legal basis for processing its users’ data and for answering their requests. The Provider helps within reason.

10.4Panel data is stored on servers in the Netherlands. The Customer confirms that it may instruct such processing, including the cross-border transfer.

11.Service level and support

11.1Availability targets, planned maintenance and support response times are described in the “Service level” document (beta.nerambler.com/en/legal/sla). There are no service credits during the beta.

11.2Support channels are listed at beta.nerambler.com/en/support.

12.Liability

12.1The Service is provided “as is”. The Provider is not liable for interruptions caused by third parties, third-party platforms, the Customer’s proxies or force majeure.

12.2The Provider’s liability under the agreement is limited to the amount the Customer paid in the last three months and excludes lost profit and indirect damages, unless the law provides otherwise.

13.Term and termination

13.1The agreement lasts while the Customer has an account. The Customer may end it at any time by deleting its panels and closing the account through support.

13.2An unused balance is refunded at the Customer’s request within 10 business days, where possible by the method it was paid with.

13.3The Provider may end the agreement with at least 30 days’ notice and a refund of the balance, and without notice for a gross breach of the acceptable use policy.

14.Changes

14.1A new edition of the offer is published on this page with a new version number and date. The Provider announces material changes by email at least 14 days in advance.

14.2A Customer who does not agree with a new edition may end the agreement before it takes effect, with a refund of the balance.

15.Governing law and disputes

15.1The agreement is governed by the law of the Russian Federation. Disputes are settled by negotiation, then by a written claim (answered within 30 days), then in the court at the Provider’s location unless the law sets another venue.

15.2The parties accept email correspondence at the address given at registration and notices in the cabinet as legally binding.
